Acceptance of Terms
By initiating contact or formally contracting any of our services, the Client acknowledges and fully accepts these overarching Terms of Use. These Terms work in conjunction with the specific, legally binding Service Agreement, Statement of Work (SOW), or Commercial Proposal mutually executed for the defined project scope.
Client Responsibility for Data
The Client explicitly declares and warrants that they possess all required legal rights, licenses, and permissions to provide any information, data, proprietary software, materials, or system credentials necessary for the project development. The Client holds us harmless and fully indemnifies us against any claims arising from the lack of necessary authorization or any non-compliance with data privacy laws (such as GDPR or LGPD) related to the data furnished to us.
Service Provision
Our services will be delivered according to the timelines, deliverables, and performance metrics detailed in the formal Service Provision Contract. We commit to utilizing cutting-edge technologies (AI, machine learning, robust web/mobile development frameworks, and RPA tools) executed by qualified professionals to ensure the delivery of high-quality, efficient, and reliable business solutions.
Intellectual Property
The Intellectual Property (IP) rights, including all source code, bespoke logic, and developed solutions, shall be explicitly addressed and defined within the binding service contract. Typically, full ownership and perpetual rights to the delivered IP are transferred to the Client immediately upon the successful completion and full, final payment of the agreed-upon project fees.
Limitation of Liability
Our total liability is strictly limited to the monetary value and scope explicitly defined in the executed service contract. We shall not be held liable for any indirect, incidental, consequential, special, or punitive damages, including, but not limited to, loss of profits, revenue, data, or operational disruption resulting from the misuse of the delivered solution or the failure of any external operating systems beyond our direct control.
